Participants will explore the main business structures under OHADA and Cameroonian law — from the sole proprietorship to the SARL and SA. Each structure has different rules on liability, capital, and governance, helping participants choose the one that best fits their business size and goals.
1

Business Registration Procedures

Business registration in Cameroon is governed by OHADA law and national legislation. Anyone wishing to operate legally must register with the relevant authorities to obtain legal recognition, a tax identity, and the right to trade. This applies to all business structures — sole proprietorships, SARLs, and SAs.

Tax Registration and Identification
FCFA 5,000
Once a business is registered, it must be properly enrolled in the tax system. This module walks participants through obtaining a Taxpayer Identification Number (TIN) at the relevant Centre des Impôts, understanding the role of the tax inspectorate, and ensuring the business is correctly declared from day one. Students will also learn about CNPS (social security) registration obligations for businesses that employ staff.
1

Tax Registration and Identification

Every individual or business liable to tax in Cameroon must register with the tax administration within 15 working days of starting operations. Required under Article L1 of the Tax Procedures Code, this process links each taxpayer to a Tax Centre and automatically generates a Unique Identification Number (NIU).

Tax Obligations by Business Activity
FCFA 5,000
Different business activities carry different tax obligations. This module provides a practical breakdown of the key taxes a registered business may face: Corporate Income Tax (IS), the Business License (Patente), Value Added Tax (TVA), withholding taxes, and local taxes. Participants will understand filing deadlines, declaration procedures, and the consequences of non-compliance, as well as sector-specific obligations that may apply to their industry

Tax Obligations by Business Activity

In Cameroon, your tax obligations depend on your business activity and chosen tax regime. All registered businesses must pay Corporate or Personal Income Tax, the Business License ( Patente ), and where applicable, Value Added Tax (TVA). Sector-specific taxes may also apply — transport, hospitality, and liberal professions each carry additional levies. Staying compliant means filing returns and paying taxes on time to avoid penalties.

About This Course

Today in Cameroon, the majority of businesses do not die because the activity is not working, they are dying because they had a bad start fiscally. You open a business; you start selling but you don't even know:

  • if you are under IGS, OBNL or Actual tax system

  • if your business is properly registered

  • if what you declare matches what the law requires

And as you proceed "quietly"

  • the tax administration classifies you,

  • deadlines are running out,

  • penalties are piling up.

Then boom one day, the tax administrators pull up at your business with a notice of 5million and you start panicking

The problem is not that you don't want to do the right thing, the problem is, no one told you how.

Starting a business is not just about choosing a name, printing flyers, buy merchandise and start selling. Understanding your tax framework is very important.

That is exactly why this course is developed
